Terms of Use
1. Agreement
These Terms of Use (“Terms”) govern access to and use of websites, applications, APIs, and related services operated by Sumiba (“Sumiba,” “we,” “us”), including the Sumiba web/mobile app and the Sumiba Chrome extension (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.
2. Privacy
Our Privacy Policy describes how we collect and process personal information. By using the Services, you acknowledge that we handle information as described there.
3. Beta program and eligibility
3.1 Private beta. The Services may be offered on an invite-only or limited basis. During the private beta, access for companies (organizations) is controlled by Sumiba unless otherwise agreed in writing. A participating company may invite individual consumers and users who join as members of that company’s organization to use the Services in connection with legitimate workflows.
3.2 Company-to-company invites. Unless Sumiba expressly enables a later program phase, companies in the private beta may not use the Services to onboard or invite unrelated third-party companies to establish their own separate Sumiba organization accounts.
3.3 Future phases. Sumiba may introduce broader programs (for example, allowing company-to-company invitations while consumers remain invite-only, or general availability). We will update these Terms or provide notice as appropriate. Continued use after changes constitutes acceptance of the updated Terms unless applicable law requires otherwise.
3.4 Beta nature. The Services may be incomplete, change frequently, and include experimental features. They are provided on an “as is” and “as available” basis during beta.
4. Accounts and security
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use.
5. Workspaces, licenses, and dual-role operators
The Services may offer different workspaces or modes (for example, consumer search, brokerage workflows, or property-management workflows). Certain features require that your organization holds appropriate regulatory registrations or licenses where the product enforces those checks.
A single legal entity may operate as both a brokerage and a property manager. You must ensure that your use of each workspace complies with the licenses and authorizations your organization actually holds. Obligations and representations may depend on the capacity in which you act (for example, marketing a listing versus managing a building).
6. Chrome extension and third-party websites
The Chrome extension is designed to assist professionals while they browse supported property listing sites. You must comply with applicable law and the terms of those third-party sites. You may not use the extension or the Services to circumvent access controls, scrape sites in a manner that interferes with their operation, or misrepresent your identity. You are responsible for obtaining rights and consents needed for content you import or upload.
7. Your content and license to us
You retain rights in content you submit. You grant Sumiba a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and create derivative outputs as reasonably necessary to provide, secure, and improve the Services—including formatting, AI-assisted transformations you request, and backups.
You represent that you have the rights needed to grant the above license. Sumiba may remove content that violates these Terms or applicable law.
8. AI features; management-company authorization (forward-looking)
Some features may use artificial intelligence to analyze documents, images, or structured data. AI outputs can be incorrect or incomplete. You are responsible for reviewing outputs before relying on them in professional or consumer-facing contexts.
Where the product allows a management company or other authorized party to approve public-facing publication of listing or property information, that party’s approval may be treated as a representation that the published materials are accurate and that they have authority to publish, subject to product-specific flows and any separate agreement between you and Sumiba. This Section is intended to align with features Sumiba may roll out after the date above; if a feature is not yet available, the general disclaimers in Section 11 still apply.
9. Verification
Optional verification tools are provided for convenience. They do not replace statutory obligations of licensed professionals (for example, customer identification duties under Japanese law at the time of a transaction). Brokers and other regulated parties remain solely responsible for compliance with applicable regulations.
10. Acceptable use
You will not: (a) misuse the Services to violate law or third-party rights; (b) attempt to access data or accounts you are not authorized to use; (c) probe, scan, or test vulnerabilities without permission; (d) resell or sublicense the Services without agreement; (e) use the Services to build a competing service through unauthorized extraction of our data or our customers’ non-public data; or (f) interfere with or disrupt the Services.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sumiba does not warrant uninterrupted or error-free operation or that defects will be corrected.
12. Limitation of liability
To the maximum extent permitted by law, Sumiba and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Sumiba’s aggregate liability for claims arising out of the Services during any twelve-month period is limited to the greater of (a) the fees you paid Sumiba for the Services in that period or (b) one hundred US dollars (US$100), except where law prohibits such a cap.
13. Indemnity
You will defend and indemnify Sumiba against third-party claims arising from your content, your misuse of the Services, or your violation of these Terms or law, subject to Sumiba’s prompt notice and reasonable cooperation.
14. Termination
We may suspend or terminate access to the Services for breach of these Terms, risk to security, or discontinuation of the beta program. You may stop using the Services at any time. Provisions that by their nature should survive (including Sections 7, 11–13, and 15) will survive termination.
15. Governing law and disputes
These Terms are governed by the laws of Japan, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Courts in Tokyo, Japan have exclusive jurisdiction for disputes arising from these Terms, subject to non-waivable rights you may have as a consumer.
